Terms of Use
The terms you agree to.
These terms govern your use of rimonpay.com and the introduction service we provide. Please read them — by using the site or submitting an application you accept them.
In short. RimonPay introduces businesses to card acquirers. We are not an acquirer, not a bank, and we do not provide regulated payment services or hold your money. We prepare your file and place it with acquirers — the underwriting decision, the pricing and the merchant agreement are the acquirer’s, not ours. We do not guarantee that any application will be approved.
01Who we are and what these terms cover
RimonPay is the trading name under which we provide merchant account introductions and operate this website. [The legal entity behind RimonPay — its jurisdiction, company number and registered office — will be inserted here before launch.] (“RimonPay”, “we”, “us”).
These Terms of Use (“Terms”) apply to your use of our website at rimonpay.com and to the introduction service we provide. By accessing the site, registering an account, or submitting an enquiry or application, you agree to these Terms. If you do not agree, do not use the site.
Where you use the site on behalf of a company or other organisation, you confirm that you are authorised to act for it and to bind it to these Terms.
02What RimonPay is — and what it is not
RimonPay is an introducer to card acquirers. We collect the information and documents an acquirer needs, assemble it into a merchant file, and introduce that file to acquirers whose appetite fits it.
RimonPay is not an acquirer, a bank, a payment institution or an electronic money institution. We do not:
- provide acquiring or payment services, or accept, hold, control or transmit client funds;
- act as the merchant of record for any transaction, or take title to the goods or services you sell;
- open merchant accounts, or make underwriting, pricing, approval or decline decisions;
- provide credit, or act as a credit broker;
- give legal, tax, accounting or regulatory advice.
We do not hold or touch your settlement funds at any point, and RimonPay is never the merchant of record for any transaction — funds never pass through an account controlled by RimonPay. Settlement flows directly between you and the acquirer you contract with, under your own agreement with them.
03Eligibility
To use our service you must:
- be at least 18 years old and have the legal capacity to enter into a contract;
- be authorised to act on behalf of the business you are applying for;
- be applying in the course of a business, not as a consumer;
- not be resident in, incorporated in, or operating from any territory subject to sanctions, and not be a sanctioned person or entity, or owned or controlled by one.
We may decline to act on any file, or cease acting on it, where we reasonably consider it falls outside the areas we serve or that proceeding would be unlawful.
04Your account and your information
You are responsible for the accuracy and completeness of everything you submit. Acquirers underwrite on the information you provide, and an inaccurate or incomplete file is the most common reason an application stalls or is declined.
You must keep your account credentials confidential and tell us immediately at support@rimonpay.com if you believe they have been compromised. You are responsible for activity on your account.
You must not submit information you are not entitled to share. Where you provide information about other people — directors, beneficial owners or signatories — you confirm that you are authorised to provide it and that they have been given our Data Privacy Policy.
05Authorisation to share information
By submitting an application, the company applying and the person completing the application on behalf of the company authorise RimonPay to share the information and documents provided in, or in connection with, that application with anyone we deem relevant to the application.
This authorisation extends to acquirers and prospective acquirers (including their underwriting, risk, compliance and fraud teams), credit reference and fraud prevention agencies, identity verification providers, sanctions, politically exposed person and adverse media screening providers, company registries, professional advisers, and any other person or organisation whose involvement we reasonably consider necessary or appropriate to assess, process, place or progress the application.
The company and the individual completing the application confirm that they are authorised to give this instruction. Where the information relates to other individuals, they confirm they have the authority to share it on those individuals’ behalf. This authorisation continues for as long as is necessary for the purposes described, and is subject to our Data Privacy Policy.
06No guarantee of approval
Submitting an application does not guarantee that any acquirer will approve it, offer you terms, or offer you terms you consider acceptable. Underwriting decisions are made by the acquirer alone, on its own criteria, and may be declined without a reason being given. We do not control and are not responsible for those decisions.
07How we are paid, and what you pay
RimonPay is paid a commission by the acquiring partner when an introduction leads to an account being opened. That commission sits inside the fee the acquirer charges you — the rate the acquirer quotes already contains it. You pay RimonPay nothing directly, and our commission does not increase the price the acquirer quotes you.
You are responsible for all fees, charges and minimum commitments set out in your merchant agreement with the acquirer.
08Our service timeline
We will complete our review of a submitted application and introduce your file to matched acquirers within three working days of receiving all of the required documents. Working days means Monday to Friday, excluding public holidays in [jurisdiction]. Where anything is missing or illegible, we will tell you promptly, and the three-day period runs from the point the file is complete.
This commitment covers our own work in preparing and placing your file. It does not cover the acquirer’s underwriting, which is outside our control.
09Acceptable use
You must not: submit false, misleading or fraudulent information; impersonate anyone; upload malicious code; attempt to gain unauthorised access to the site or its data; scrape or copy the site; use the site to breach sanctions, anti-money laundering or other laws; or interfere with the site’s operation.
10Intellectual property
The RimonPay name, logo, design, text and code on this site are owned by us or licensed to us, and are protected by intellectual property law. You may view and print pages for the purpose of using our service. You may not otherwise copy, reproduce, modify or redistribute any part of the site without our written permission.
11Third-party acquirers
Once we introduce your file, you deal directly with the acquirer. Your merchant account is governed by the acquirer’s own terms, pricing and privacy notice, not by these Terms. We are not a party to that agreement and are not responsible for the acquirer’s acts or omissions.
12Availability and disclaimers
We aim to keep the site available, but we do not promise uninterrupted or error-free access, and we may suspend or change the site at any time. The site and its content are provided on an “as is” basis.
Nothing on this site is legal, tax, accounting or regulatory advice, and nothing on it should be relied on as a statement of any acquirer’s current terms.
13Limitation of liability
Nothing in these Terms limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be limited.
Subject to that, we are not liable for: any decision made by an acquirer, including a decline; loss of profit, revenue, business or anticipated savings; any indirect or consequential loss; or any loss arising from information you provided that was inaccurate or incomplete. Our total liability arising out of or in connection with these Terms is limited to [state the cap — e.g. £1,000].
14Indemnity
You agree to indemnify us against any loss, claim or expense arising from your breach of these Terms, your breach of any law, or any claim by a third party arising from information you submitted or from your use of the site.
15Suspension and termination
We may suspend or terminate your access to the site or our service at any time, including where we reasonably believe you have breached these Terms, where we are required to do so by law, or where we consider the file falls outside the areas we serve. You may stop using the service at any time.
16Complaints
If you are unhappy with our service, contact us at sales@rimonpay.com. We will acknowledge your complaint and respond to it. If your complaint concerns an acquirer or your merchant account, it should be raised with the acquirer under its own complaints procedure.
[Add your complaints procedure, response times, and — if you are required to be registered with a regulator or a trade body — details of how to escalate. Also confirm whether any alternative dispute resolution route applies.]
17Changes to these Terms
We may update these Terms from time to time. We will change the version number and the “last updated” date at the top. Where a change is material, we will give you reasonable notice before it takes effect. Continuing to use the site after a change means you accept the updated Terms.
18Governing law and jurisdiction
These Terms are governed by the laws of [jurisdiction — e.g. England and Wales], and the courts of [jurisdiction] have exclusive jurisdiction over any dispute arising out of them.
